Terms of Service.

These Terms of Service (the “Terms”) form a legally binding agreement between you (“you” or “User”) and Merdot Technologies, a company organised under the laws of India with its principal place of business in Ahmedabad, Gujarat (“Merdot”, “we”, “us” or “our”). They govern your access to and use of our websites, applications, platforms and products, including Merdot AI, Merdot Track and MIOS Pinaka (collectively, the “Services”).

By accessing, registering for, or using the Services, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, you must not use the Services.

If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms, and “you” refers to that organisation. Additional written agreements may apply to enterprise or institutional use of MIOS Pinaka and, where they exist, will govern in the event of a conflict with these Terms.

• ServicesOur websites, applications, application programming interfaces and products, including Merdot AI, Merdot Track and MIOS Pinaka.
• AccountA registration that lets you access certain features of the Services.
• User ContentAny text, files, images, prompts, queries, data or other material you submit to or through the Services.
• OutputContent generated by the Services in response to your inputs, including AI-generated responses and analytical results.
• SubscriptionA paid plan that grants access to specified features for a fixed period.

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Services. If you are between the ages permitted by applicable law and the age of majority, you may use the Services only with the involvement and consent of a parent or legal guardian who agrees to these Terms.

You may not use the Services if you are barred from doing so under the laws of India or any other applicable jurisdiction, or if you have previously been suspended or removed from the Services. You are responsible for ensuring that your use complies with all laws and regulations that apply to you.

Some features require you to create an Account. You agree to provide accurate, current and complete information and to keep it up to date. You are responsible for all activity that occurs under your Account.

You must keep your login credentials confidential and must not share your Account with others. You agree to notify us promptly at Contact@merdot.com of any unauthorised use of your Account or any other breach of security. We are not liable for any loss arising from unauthorised use of your Account where you failed to keep your credentials secure.

You agree that you will not, and will not permit anyone else to:

• Use the Services for any unlawful, fraudulent, harmful or deceptive purpose, or in breach of any applicable law or regulation, including the laws of India.
• Infringe or misappropriate the intellectual property, privacy, publicity or other rights of any person or entity.
• Generate, upload or distribute content that is defamatory, obscene, hateful, harassing, or that incites violence or unlawful discrimination.
• Attempt to interfere with, disrupt, disable, overburden or gain unauthorised access to the Services or any related systems, networks or data.
• Reverse engineer, decompile, scrape, or attempt to extract source code or underlying models from the Services, except to the extent this restriction is prohibited by applicable law.
• Use the Services to build a competing product, to train a competing model, or to create surveillance or profiling systems that violate individual rights.
• Misrepresent Output as human-authored where such misrepresentation is unlawful or deceptive, or rely on Output for decisions that require professional, legal, medical or financial advice without independent verification.

We may investigate suspected violations and may suspend or terminate access to protect the Services and our users. We may cooperate with law enforcement where required.

Certain features are offered free of charge and others require a paid Subscription. Where you purchase a Subscription, you agree to pay all applicable fees and taxes for the plan you select. Prices, plan features and usage limits are described at the point of purchase and may change on notice for future billing periods.

Payments may be processed by third-party payment providers. By providing payment details you authorise us and our payment providers to charge the applicable fees using your chosen payment method. Unless stated otherwise, Subscriptions renew automatically at the end of each billing cycle until cancelled.

You may cancel a Subscription at any time; cancellation takes effect at the end of the current billing period, and you retain access until then. Except where required by law, fees already paid are non-refundable and partial periods are not pro-rated. We may suspend or downgrade access if a payment fails or is reversed.

The Services, including all software, models, designs, text, graphics, logos and the “Merdot”, “Merdot AI”, “Merdot Track” and “MIOS Pinaka” names and marks, are owned by Merdot or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal and lawful purposes. You may not copy, modify, distribute, sell, sublicense or create derivative works of the Services except as permitted by these Terms or applicable law.

If you send us feedback, suggestions or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction or obligation to you.

You retain all rights you hold in your User Content. You grant Merdot a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit and display your User Content solely to the extent necessary to operate, maintain, secure and improve the Services and to provide the features you request.

You are solely responsible for your User Content and represent that you have the rights necessary to submit it and that it does not violate any law or third-party right. Do not submit sensitive personal, confidential or regulated data unless the relevant product and your plan are designed to handle it.

As between you and Merdot, and subject to your compliance with these Terms and any third-party rights, you may use Output generated for you. Because the Services rely on artificial intelligence and automated analysis, Output may be inaccurate, incomplete or unsuitable for a particular purpose, and similar Output may be generated for other users. You are responsible for reviewing and verifying Output before relying on it.

The Services may integrate with, link to, or depend on third-party services, data sources, platforms and models. Your use of any third-party service is governed by that third party’s own terms and privacy practices, and we are not responsible for their content, availability, accuracy or conduct.

Where the Services process publicly available information or data obtained from third parties (for example, in Merdot Track and MIOS Pinaka), we do not warrant the completeness or accuracy of such data, and its availability may change without notice.

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied or statutory.

To the maximum extent permitted by law, Merdot disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, secure, error-free, or that Output will be accurate, reliable or complete.

Nothing in the Services constitutes legal, financial, medical, or other professional advice. You should obtain independent professional advice before acting on any Output.

To the maximum extent permitted by applicable law, Merdot and its directors, employees, affiliates and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or relating to your use of, or inability to use, the Services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the total amounts you paid to Merdot for the Services in the twelve months preceding the event giving rise to the liability, or (b) INR 5,000.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.

You agree to indemnify, defend and hold harmless Merdot and its directors, employees, affiliates and licensors from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or in any way connected with (a) your use or misuse of the Services, (b) your User Content, (c) your breach of these Terms, or (d) your violation of any law or the rights of any third party.

You may stop using the Services at any time and may close your Account. We may suspend or terminate your access to the Services, in whole or in part, with or without notice, if we reasonably believe you have breached these Terms, if required by law, or to protect the Services, other users or third parties.

On termination, your right to use the Services ceases immediately. Provisions that by their nature should survive, including those on intellectual property, disclaimers, limitation of liability, indemnity, and governing law, will survive termination. We may delete your User Content after a reasonable period following termination, subject to legal retention requirements.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles.

Subject to any mandatory rights you may have as a consumer, you and Merdot agree that the courts at Ahmedabad, Gujarat, India shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Services. Before initiating formal proceedings, the parties will use good-faith efforts to resolve any dispute informally by contacting each other.

We may update these Terms from time to time to reflect changes in our Services, the law, or our practices. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, provide additional notice.

Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
