Terms of Service
These Terms of Service govern your access to and use of the MIOS platform and all services provided by MERDOT Technologies. By accessing or using MIOS, you agree to be bound by these terms.

1. Definitions
"MERDOT," "we," "us," or "our" refers to MERDOT Technologies, a company incorporated in India with its registered office in Ahmedabad, Gujarat.
"MIOS" refers to the MIOS Narrative Intelligence Operating System, including the OSIRIS AI engine, all associated APIs, dashboards, data products, and services provided by MERDOT.
"Client" or "you" refers to the institutional entity that has entered into an agreement with MERDOT for access to the MIOS platform.
"Authorized Users" means employees, agents, and contractors of the Client who are granted access credentials to use MIOS under the Client's agreement.
"Intelligence Data" refers to analysis, alerts, briefings, classifications, and outputs generated by MIOS from signal ingestion and AI processing.
2. Access and Eligibility
Access to MIOS is restricted to institutional clients that have executed a separate Master Services Agreement or Institutional Deployment Agreement with MERDOT. Website access to general information on merdot.com does not constitute access to the MIOS platform.
MERDOT reserves the right to decline any engagement request without explanation. MIOS is an institutional platform and is not available to private individuals, political parties acting without oversight body authorization, or entities whose intended use conflicts with MERDOT's Acceptable Use Policy.
3. Permitted Use
The Client may use MIOS solely for the purposes set out in the applicable Institutional Deployment Agreement. Permitted use is limited to:
- Monitoring and analyzing information environments within the Client's legitimate operational jurisdiction
- Generating intelligence briefings for internal decision-making by Authorized Users
- Configuring alerts and escalation workflows for the Client's own operational teams
- Accessing the MIOS API for authorized integration with the Client's internal systems
The Client may not sublicense, resell, or provide third-party access to MIOS intelligence outputs or the platform itself without prior written authorization from MERDOT.
4. Prohibited Use
The Client expressly agrees not to use MIOS for:
- Generating, distributing, or amplifying disinformation, synthetic content, or coordinated inauthentic behavior
- Targeting individuals or groups on the basis of religion, ethnicity, caste, political belief, or protected characteristic
- Suppressing or targeting journalists, civil society organizations, human rights advocates, or legitimate political opposition
- Offensive information operations against domestic or foreign populations
- Any activity that violates applicable Indian law, international law, or the laws of the Client's operating jurisdiction
- Any purpose that conflicts with MERDOT's published AI Principles
Violation of this section constitutes grounds for immediate termination of platform access and may result in legal action.
5. Intellectual Property
MIOS, the OSIRIS AI engine, all associated software, models, algorithms, and the MERDOT brand are the exclusive intellectual property of MERDOT Technologies. No rights are transferred to the Client beyond the limited license to use the platform as described in the applicable agreement.
Intelligence Data generated by MIOS using the Client's own data inputs may be owned by the Client to the extent described in the applicable agreement. MERDOT retains all rights to the models, processes, and infrastructure that generated such outputs.
6. Confidentiality
Both parties agree to maintain the confidentiality of the other's proprietary information. For government and defence-adjacent deployments, data classification and handling requirements are governed by the applicable Deployment Agreement and applicable law.
MERDOT will not disclose Client intelligence data, usage patterns, or configuration details to third parties except as required by law or as authorized in writing by the Client.
7. Availability and Support
MERDOT will use commercially reasonable efforts to maintain platform availability as specified in the applicable SLA. Planned maintenance windows will be communicated in advance. MERDOT is not liable for downtime caused by circumstances beyond its reasonable control, including infrastructure outages, force majeure events, or government-ordered disruptions.
8. Limitation of Liability
MIOS provides intelligence analysis and advisory outputs. All consequential decisions remain the responsibility of the Client. MERDOT is not liable for decisions made by the Client or its authorized users based on MIOS intelligence outputs.
To the maximum extent permitted by applicable law, MERDOT's aggregate liability to the Client for any claims arising from the use of MIOS shall not exceed the fees paid by the Client to MERDOT in the three months preceding the claim.
9. Termination
Either party may terminate the agreement in accordance with the terms of the applicable Institutional Deployment Agreement. MERDOT reserves the right to suspend or terminate access immediately in the event of a material breach of these Terms, including any violation of the Prohibited Use provisions.
Upon termination, the Client's access to MIOS will be revoked and data handling will proceed in accordance with the Data Retention provisions of the applicable agreement and applicable law.
10. Governing Law
These Terms of Service are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India, unless otherwise specified in an applicable bilateral agreement or treaty relevant to government clients.
